Capgemini signs agreement to acquire VariQ to strengthen its US Government Solutions business

As the year 2021 begins, Capgemini is active in the AI and digital transformation ecosystem: after becoming one of World Rugby’s partnersuntil the 2023 World Cup, the company is signing an agreement to acquire VariQ. This arrival should enable Capgemini Government Solution, a Capgemini entity, to increase its capabilities in software development, cybersecurity and cloud services.

Capgemini to acquire VariQ to enhance its software development, cybersecurity and cloud capabilities

Founded in 2003, VariQ is a company that provides software development, cybersecurity and cloud services to U.S. federal departments and agencies. These services are provided under a number of contract vehicles, including the Alliant 2 “Best in Class” master agreement. Since 2020, VariQ has included a digital transformation entity that supports several private sector clients.

Subject to applicable regulatory approvals, Capgemini announced today that it has entered into an agreement (SPA) to acquire VariQ. Commenting on his firm’s desire to join the Capgemini Group, Ben Edson, founder and CEO of VariQ, said:

“At VariQ, we have prioritized developing digital offerings in agile mode and built a highly skilled team to meet our goals, which are also those of Capgemini and Capgemini Government Solutions. Joining Capgemini would give us the scale and growth opportunities to better serve the needs of the 20+ agencies we support. We look forward to providing our clients with turnkey solutions as part of our engagements.”

Acquisition subject to regulatory approvals expected to close by year-end

With the acquisition, VariQ would be integrated into Capgemini Government Solutions LLC, a division operating independently of the Group to provide services to US federal agencies. Jim Bailey, Executive Director of Capgemini’s Strategic Business Unit Americas and a member of the Capgemini Group Executive Committee said:

“We seek to always be in a position to best serve the needs of US federal agencies, and this acquisition would allow us to strengthen our digital capabilities and add to our teams. This acquisition would mark an important milestone for Capgemini Government Solutions and our growth prospects in the Americas.”

Doug Lane, CEO of Capgemini Government Solutions LLC adds:

“With these talented teams and additional ‘Best in Class’ framework agreements, Capgemini Government Solutions would be able to provide industry-leading solutions to the agencies we support. We are excited to be able to maintain close partnerships with those we support on their digital transformation projects in the future.”

Both firms are supportive of the acquisition process, the terms of which will be submitted for approval to the Committee on Foreign Investment in the United States (CFIUS) and the Defense Counterintelligence and Security Agency (DCSA). Subject to these regulatory approvals, this transaction is expected to be completed by the end of 2021.
